These Terms of Service (“Terms”) govern your access to and use of the Medtax platform and services operated by Medtax Solutions Inc. (“Medtax,” “we,” “us,” “our”). By registering for or using Medtax, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the service.
Medtax provides a BIR tax compliance service for doctors and other professionals in the Philippines. Through our app and licensed account managers, we capture and record your documents, keep your books of account, and prepare and — once you approve — file your BIR returns. Medtax is a service provider; you remain the taxpayer responsible for your own tax obligations.
Registering for or using Medtax constitutes your acceptance of these Terms. We may amend them from time to time; for material changes we will give notice and, where appropriate, ask you to accept the updated Terms. Your continued use after an update means you accept it.
The service is intended for taxpayers and licensed professionals in the Philippines. You must provide accurate registration details, keep your login credentials secure, and are responsible for activity under your account. One account is permitted per taxpayer registration.
You are responsible for providing accurate, complete, and timely information and documents, for reviewing and approving your returns before they are filed, and for meeting your own tax obligations. Where you provide information about other people (for example on withholding certificates), you confirm you have a lawful basis to share it under the Data Privacy Act of 2012.
We prepare your books and returns based on the documents and information you provide, apply reasonable professional care, and file returns through the BIR's official channels once you approve them. We rely on what you give us and are not responsible for consequences arising from inaccurate, incomplete, or late information you provide.
Medtax is provided under the plan you select; current plans and inclusions are shown on our pricing page. Optional services outside your plan are quoted before any work begins. Fees are payable as agreed. We may change plan pricing on reasonable notice; changes do not affect a period you have already paid for.

Our handling of personal data is governed by our Privacy Policy. You are the controller of your tax information; Medtax acts as processor to provide the service, and is the controller of your account data.
Medtax owns all rights in the platform, software, and its content. You own the data and documents you submit and the outputs prepared for you. You grant us a non-exclusive licence to host, process, and display your data as needed to operate and deliver the service to you.
Each party will keep the other's non-public information confidential and use it only to perform under these Terms, except where disclosure is required by law or lawful authority.
We use commercially reasonable efforts to keep the platform available, but do not guarantee uninterrupted service. We may perform scheduled maintenance with notice and emergency maintenance without notice. Support is available by email during Philippine business hours.
The platform is provided “as is.” While we prepare and file your returns with reasonable professional care, we do not warrant any particular tax outcome or that every return will be accepted without query by the BIR. This does not exclude warranties or rights that cannot be excluded under Philippine law, including applicable consumer-protection law.
To the maximum extent permitted by law, we are not liable for indirect or consequential losses. Our total liability arising out of or in connection with the service is capped at ₱100,000.00 or the total fees you paid to us in the preceding twelve (12) months, whichever is greater. Nothing in these Terms limits liability for fraud, gross negligence, wilful misconduct, death or personal injury, breach of the Data Privacy Act of 2012, or any liability that cannot be limited under Philippine law.
You will indemnify Medtax against third-party claims arising from information or documents you provide that are inaccurate or unlawful, from your breach of these Terms, or from your failure to meet your own tax or legal obligations, except to the extent caused by our own breach.
You may stop using the service at any time. We may suspend or terminate access for breach of these Terms or as required by law. On termination, we stop preparing and filing new returns; records already generated or filed are retained for the period stated in our Privacy Policy, and you may request an export of your data within thirty (30) days.
These Terms are governed by the laws of the Republic of the Philippines. The parties will first attempt in good faith to resolve any dispute within thirty (30) days. Any dispute not so resolved is subject to the exclusive jurisdiction of the courts of Makati City, Metro Manila.
These Terms and the Privacy Policy are the entire agreement between you and Medtax for the service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver of it. You may not assign these Terms without our consent; we may assign them to a successor. Neither party is liable for delay caused by events beyond its reasonable control (except payment obligations). Notices may be given by email or within the platform.
